Firewall rules adding doesn't solve the problem at all. Any idea about this? This is only in 64bit win. Win7 x86 with ESET Smart Security doesn't meet this problem.

Try preferences → show project wizard at startup. Seemed to get around it on mine :). I had this happening alot.
I can attest that ESET Smart Security is the main culprit. If you haven’t figured out the problem with ESET SS, it’s likely part of the realtime file system protection.
However, my subscription to ESET Smart Security was up for renewal, and I decided to go with ESET Antivirus 5 instead. In the brief moment I had no AV installed, I was able to open Unity without the problem I had before with ESET SS. With ESET AV installed, I have had no problems either.
